Terms & Conditions

Governing Law: German law in accordance with §§ 305 ff. BGB and EU Directive (EU) 2019/770 on digital content.

1. Provider, Scope and Contracting Parties

1.1 The provider and contracting party for all services related to the use, purchase, and provision of the AVIRIS software is:

1.2 These Terms & Conditions (hereinafter "Terms") apply to all contracts, services, and deliveries related to AVIRIS, including desktop, mobile, and web applications, and the associated license and account management system.

1.3 These Terms apply worldwide, both to customers located within the European Union and outside of it (e.g., the United Kingdom, the United States, Canada, Asia, and other regions).

1.4 Customers may be consumers (as defined in § 13 BGB) or businesses (as defined in § 14 BGB).

1.5 Any terms or conditions of the customer deviating from or supplementing these Terms shall not apply unless expressly accepted in writing by AI Coding GmbH.

1.6 When purchasing through app stores (e.g., Google Play Store, Apple App Store), the respective store terms and conditions apply in addition. In case of conflict, the store terms prevail.

2. Service Description

2.1 AVIRIS is an advanced cybersecurity software suite ("Next Generation Antivirus & AI Threat Detection Suite") designed to detect, analyze, isolate, and remove malware and other digital threats. It utilizes artificial intelligence, heuristic scanning, cloud-based analysis, and process sandboxing.

2.2 The Free Version allows users to perform a system scan and remove or isolate the first detected threat. Extended functions (e.g., real-time protection, multi-device management, firewall, network monitoring) require a paid license.

2.3 The features, prices, supported systems, and subscription terms are specified in the current product descriptions available at www.aviris.com.

2.4 AI Coding GmbH may enhance, modify, or restrict the features of AVIRIS in line with technical progress, provided such modifications are reasonable for the customer.

3. Contract Formation and Activation

3.1 The presentation of products and pricing on the website or in app stores does not constitute a legally binding offer but an invitation to submit an order.

3.2 A contract is concluded once the customer submits an order and AI Coding GmbH accepts it by providing, activating, or delivering a license key.

3.3 Certain functions (e.g., license management, billing, device management) require a user account. The customer is responsible for keeping their login credentials confidential.

4. License and Usage Rights

4.1 Upon full payment of the applicable fee, the customer receives a non-exclusive, non-transferable, non-sublicensable license to use AVIRIS on the agreed number of devices for the agreed term.

4.2 Each license is bound to a specific device. Through the AVIRIS web app, users can unlink one device and transfer the license to another.

4.3 The customer is expressly prohibited from:

  • (a) modifying, decompiling, or reverse-engineering the software (unless permitted by law);
  • (b) circumventing technical protection measures;
  • (c) renting, leasing, or commercially distributing AVIRIS;
  • (d) using AVIRIS or any part thereof to develop competing products;
  • (e) using the software for illegal purposes.

4.4 Open-source components, if included, are governed by their respective license terms; AI Coding GmbH provides the relevant notices.

5. Prices, Payment, and Invoicing

5.1 The applicable prices are those stated at the time of the order. All prices include statutory VAT (if applicable).

5.2 Payments are processed via the payment services offered (e.g., Stripe, PayPal, Klarna, Apple Pay, Google Pay) according to their respective terms.

5.3 Invoices are provided electronically by email or through the user account. The customer consents to electronic invoicing.

6. Term, Renewal, and Termination

6.1 License agreements are valid for the agreed term (e.g., monthly or yearly) and automatically renew unless renewal is disabled by the customer.

6.2 Cancellations may be made at any time via the cancellation button (as required by §312k BGB) or through the respective app store platform.

6.3 The right to terminate for cause remains unaffected.

7. Updates, Upgrades, and Support

7.1 AI Coding GmbH provides the necessary security and functionality updates during the contract term in accordance with §§ 327f BGB.

7.2 Upgrades (e.g., higher editions or add-on modules) may be offered separately.

7.3 Support requests can be submitted via the contact form or by email to support@aviris.com. Incoming messages are automatically acknowledged; responses are typically provided within 24 hours on business days.

8. Customer Obligations

8.1 The customer undertakes to use the software lawfully and in accordance with these Terms.

8.2 The customer is responsible for regular data backups. AI Coding GmbH is liable for data loss only as provided in Section 11.

8.3 Errors should be documented in a reproducible manner (e.g., screenshots, logs, or reproduction steps).

9. Data Protection and Processing

9.1 The collection and processing of personal data comply with the AI Coding GmbH Privacy Policy, available at www.aviris.com/privacy.

9.2 For business customers where data processing occurs on behalf of the customer, AI Coding GmbH provides a Data Processing Agreement (DPA) upon request.

10. Warranty

10.1 The statutory provisions for digital products (§§ 327 et seq. BGB) apply.

10.2 Minor deviations that do not significantly impair usability do not constitute defects.

10.3 For free services (Free Version), the warranty is limited to intent and gross negligence.

11. Liability

11.1 AI Coding GmbH is fully liable for damages arising from injury to life, body, or health, for intent and gross negligence, and under the German Product Liability Act.

11.2 In cases of slight negligence, AI Coding GmbH is liable only for breaches of essential contractual obligations (cardinal duties). Liability in such cases is limited to foreseeable, typical damages.

11.3 AI Coding GmbH is only liable for data loss to the extent that the damage would have been avoided through proper data backup.

11.4 Any further liability is excluded unless mandatory legal provisions provide otherwise.

12. Intellectual Property

12.1 AVIRIS, including its software code, design, texts, and contents, is protected by copyright and trademark laws. All rights remain with AI Coding GmbH.

12.2 Trademarks, logos, and trade names may not be used without prior written consent.

13. Right of Withdrawal for Consumers

13.1 Consumers have a statutory 14-day right of withdrawal for distance contracts involving digital content.

13.2 The right of withdrawal expires once execution of the contract has begun after the consumer has expressly agreed to this and confirmed their understanding that the right of withdrawal is thereby lost (§356(5) BGB).

13.3 The full withdrawal instructions and form are provided below in Sections 14 and 15.

14. Withdrawal Instructions

Right of Withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period is 14 days from the day the contract was concluded.

To exercise your right of withdrawal, you must inform us (AI Coding GmbH, Peter Müller Str. 3, 40468 Düsseldorf, Germany, E-Mail: support@aviris.com) of your decision to withdraw by means of a clear statement (e.g., a letter sent by post or email).

To meet the withdrawal deadline, it is sufficient to send your communication before the expiry of the 14-day period.

Consequences of Withdrawal

If you withdraw from this contract, we will reimburse all payments received from you within 14 days from the day we receive notice of your withdrawal. The refund will be made using the same payment method used for the original transaction unless otherwise expressly agreed.

Expiry of the Right of Withdrawal

Your right of withdrawal expires once we have begun performance of the contract after you have expressly consented to such commencement and confirmed your awareness that you lose your right of withdrawal once performance begins.

16. Amendments to the Terms

16.1 AI Coding GmbH may amend these Terms for valid reasons (e.g., legal changes, technical developments, security updates).

16.2 Customers will be notified in advance. Amendments become effective unless the customer objects within six weeks. For consumers, this applies only if the changes are reasonable and do not substantially alter core contractual obligations.

17. Governing Law, Global Applicability, and Translations

17.1 These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection rights of the country in which the customer habitually resides remain unaffected.

17.2 For customers outside the EU, German law applies; the exclusive place of jurisdiction is Düsseldorf, Germany.

17.3 Translations of these Terms (e.g., into English, Spanish, or French) are provided solely for convenience. In case of discrepancies, the German version prevails.

18. Dispute Resolution

18.1 The European Commission provides an online dispute resolution platform: https://ec.europa.eu/consumers/odr.

18.2 AI Coding GmbH is not obligated or willing to participate in dispute resolution before a consumer arbitration board (§36 VSBG).

19. Final Provisions

19.1 Should any provision of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.

19.2 The contract language is German. This English translation is provided for convenience only. In case of conflict, the German version shall prevail.
